This Advisory & Transaction Disclaimer applies to all services, communications, materials, and engagements provided by Sliceo LLC (“Sliceo”), whether accessed through our website, proposals, engagement letters, NDAs, representation agreements, or other written or oral communications.
No Licensure or Regulated Capacity
Sliceo LLC is not a licensed broker-dealer, investment advisor, investment banker, attorney, law firm, real estate broker, or real estate professional. Sliceo holds no registrations or licenses with the SEC, FINRA, state securities regulators, real estate commissions, or any other regulatory authority.
Sliceo does not engage in underwriting, securities placement, real estate brokerage, or any activity requiring professional licensure. All services provided by Sliceo are consulting and advisory services only.
No Legal, Tax, Financial, or Investment Advice
Sliceo does not provide legal advice, tax advice, accounting services, financial planning, or investment advice. Any materials, models, projections, templates, or guidance provided are for informational and strategic discussion purposes only and are non-binding.
Clients must consult their own qualified attorneys, tax advisors, accountants, real estate professionals, and financial advisors before making any legal, tax, financial, investment, or transactional decisions. Reliance on Sliceo’s materials without independent professional review is at the client’s sole risk.
Limited Role in M&A and Business Transactions
In mergers, acquisitions, asset sales, or membership interest transfers, Sliceo acts solely as an independent advisor and consultant to its client. Sliceo may assist with preparation, positioning, diligence readiness, process coordination, and strategic guidance based on experience and best efforts.
Sliceo does not represent buyers or sellers as a fiduciary, does not control negotiations, and has no authority to bind any party. Sliceo does not participate in or advise on transactions involving real property or real estate interests. Any transaction involving real estate must be handled by properly licensed professionals.
Matchmaking, Introductions, and Success Fees
Sliceo may introduce buyers, sellers, investors, or strategic partners in a limited matchmaking or finder capacity. Introductions are provided as a courtesy and do not constitute brokerage, intermediary, or agency services.
Sliceo may be compensated through consulting fees, success fees, or other agreed compensation, which may be paid by the buyer, seller, or both, as defined in a separate written agreement. No introduction guarantees a transaction, valuation, closing, or outcome.
Sliceo is not responsible for the conduct, representations, performance, or post-transaction actions of any counterparty.
Exclusivity
Where expressly stated in a signed representation or engagement agreement, Sliceo may act on an exclusive basis for a defined term. Exclusivity obligations, including restrictions on engaging other advisors or brokers, are governed solely by the applicable written agreement and not by this Disclaimer.
Valuations, Projections, and Outcomes
Any valuations, financial models, EBITDA calculations, projections, or forecasts provided by Sliceo are illustrative and based on assumptions, experience, and information provided by the client or third parties. Sliceo does not guarantee accuracy, completeness, or realization of any projected results.
Market conditions, regulatory changes, economic factors, operational execution, and third-party actions may materially impact outcomes. Past results, case studies, or examples are not indicative of future performance.
Client Responsibilities
Clients remain solely responsible for business decisions, implementation, staffing, compliance, and execution. Sliceo is not responsible for outcomes where recommendations are not followed, data provided is inaccurate or incomplete, or external professionals are not consulted when advised.
No Guarantees
Sliceo makes no guarantees regarding transaction completion, valuation, return on investment, operational improvement, system longevity, or business success. All decisions are made by the client at its own risk.
Limitation of Liability
To the maximum extent permitted by law, Sliceo disclaims all liability for indirect, incidental, consequential, special, or punitive damages, including lost profits, loss of business value, reputational harm, or opportunity costs.
Sliceo’s total cumulative liability for any claim arising out of or relating to an engagement shall not exceed the total fees paid to Sliceo for that specific engagement. All services and materials are provided “as is” without warranties of any kind.
Time Limitation on Claims
Any claim, action, or proceeding arising out of or relating to Sliceo’s services must be brought within twelve (12) months of the conclusion of the applicable engagement, regardless of any longer statute of limitations, to the extent permitted by law.
Scope and Acceptance
This Disclaimer is incorporated by reference into all Sliceo engagements, NDAs, proposals, and agreements. By accessing Sliceo’s website or engaging Sliceo’s services, you acknowledge and agree to this Disclaimer. If any provision is held unenforceable, the remainder shall remain in full force and effect.
